Acceptance of these Terms

Welcome to our customer portal for the export organisation of Heineken South Africa Proprietary Limited called HEINEKEN South Africa (online.heineken.co.za). These terms and conditions together with our Privacy and Cookie Policy (the "Terms"), govern your use of HEINEKEN South Africa (the "Website").

By using the Website you confirm that you are 18 years of age or older and have the ability to conclude contracts

Existing terms and conditions of sale agreed between Heineken South Africa and you will apply in addition to these Terms to all purchases by you of any of the products listed on the Website (the "Products"). In the event that any such terms and conditions deviate from these Terms, those terms will prevail above these Terms.

We advise you to print a copy of these Terms or to save them to your computer for future reference. Please note that we may amend these Terms from time to time. Updated Terms are effective from publication on the Website.

Clauses 2, 3 and 8 are important because they limit and exclude obligations, liabilities and legal responsibilities that we may otherwise owe to you. As a result of these clauses, your rights and remedies against us are limited and excluded. These clauses also limit and exclude your right to recover or make claims for any losses, damages, liability or harm you or others may suffer. In summary, these paragraphs state that you know and accept that the Internet is not absolutely secure and that there is a risk that your Personal Information will not be secure when transmitted over the Internet.

- Assumption of risk, legal responsibilities and liability by you. Clauses 2, 3, 4 and 5 are important because you take on risk, legal responsibilities and liability. You will also be responsible for, and you accept, damages, harm, and injury which may be suffered by you and others in relation to what is stated in these clauses.

Our Products

We reserve the right to discontinue any of the Products or alter the ingredients, preparation, or presentation of any of the Products without prior notice to you, but all orders already placed will be delivered without any alterations unless requested by you. The prices of the Products will be as agreed with you separately. You acknowledge that all Products shown on our Website are subject to availability. We do not guarantee the availability of the Products and will only be liable for delivery of the Products when the Products are available. The effect of this clause is that you understand that there may not always be stock of the item you want to purchase.

Ordering

Our online order process allows you to check and amend any errors before submitting your order to us. Please take the time to read and check your order at each page of the order process. If you have any questions on the steps you need to take to place an order on our Website, please contact your designated local Customer Service Organisation.
Products ordered are subject to existing trading and payment terms. No online payment method is facilitated on the Website.

A received and accepted order on the Website constitutes the conclusion of an agreement for the purchase of the ordered products between you and us (the "Agreement"). As soon as possible you will receive an email from us acknowledging that we have duly received your placed order (the "Confirmation Message"). The Confirmation Message will include the key details of the order, which you can store and/or print. If you do not receive a Confirmation Message within one working day we kindly ask you to contact your designated local Customer Service Organisation.

All Agreements will be in the English language only.

Delivery

Ordered Products will be transported to you on the estimated time of departure selected by you on the Website, to the delivery address specified on the order. If you would like to make any changes to a submitted order, such as a change of the chosen delivery address, please contact your designated local Customer Service Organization. We cannot guarantee that we will be able to facilitate all requested changes.

Transfer of Ownership

The ownership of all Products supplied by us to you will remain with us until we have received payment in full for all sums due and owing by you to us, in respect of (i) the Products, and (ii) all sums due and owing on your account with us.

You will not in any way pledge or charge by way of security for any indebtedness any goods in which title has not passed to you, and in the event that you do so, all monies owing to us will become immediately due and payable (without prejudice to any other rights and remedies we may have).

Intellectual property rights

The Website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by us, our licensors or other providers of such material and are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You can use the Website only for purposes in line with these Terms. You are permitted to make copies of any part of the Website for personal use. You must not use any of the content on our Website for other purposes without obtaining a written licence from us to do so.

Disclaimer

In spite of the continuous care and attention to the content of the Website, we cannot guarantee the completeness and correctness of our Website. We shall not be liable for any damages resulting from the use (or inability to make use) of this Website, including any incorrectness or incompleteness of information placed on the Website, unless such damage is the result of any wilful misconduct or gross negligence on our part.

We furthermore cannot guarantee that the Website will function faultless and without any interruptions. We and our affiliates shall not be liable for damages that may result from the use of electronic means of communication, including, but not limited to, damages resulting from the failure or delay in delivery of electronic communications, interception or manipulation of electronic communications by third parties or by computer programs used for electronic communications and transmission of viruses.

Although we have made every effort to display the colours accurately, we cannot guarantee that your computer's display of the colours accurately reflect the colour of the Products. Indemnification

Force Majeure

We will not be under any liability of whatever kind for non-performance in whole or in part of circumstances beyond our reasonable control or beyond the control of our suppliers, including, but not limited to; war (whether an actual declaration thereof is made or not), sabotage, insurrection, riot or other act of civil disobedience, acts of you or a third party, failure or delay in transportation, acts of any Government or any agency or sub-division thereof, government regulations, judicial actions, industry-wide labour disputes and strikes, embargoes, illness, accident, fire, explosion, flood, tempest or other acts of God, or a nation- or industry-wide shortage of labour, fuel, raw materials or machinery or technical failure. In any such event, we may, without liability, cancel or vary the terms of the Agreement including, but not limited to, extending the time for performing the Agreement for a period at least equal to the time lost by reason of such causes.

Confidentiality

Any information relating to us or our business, which is disclosed to you by us, shall be treated by you as confidential and shall not be used by you or disclosed by you to any third party unless required in terms of the law. You will return all such information and material to us on request.

Miscellaneous

Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.

These Terms are governed by South African law.
